Restaurant Brands International (RBI, NYSE/TSX: QSR) will repurchase approximately 2.8 million Class B exchangeable limited partnership units from 3G Restaurant Brands Holdings LP, an affiliate of 3G Capital Partners, using available cash on hand. The exchange notice, received by RBI LP, is irrevocable and scheduled to settle on August 31, 2026.

The repurchase price will be calculated using the 20-day volume weighted average price of RBI's common shares on the NYSE, denominated in U.S. dollars, consistent with the terms of RBI LP's limited partnership agreement. Once the 2,784,549 units are cancelled, RBI's fully diluted common share count will decrease by the same amount.

Ownership Shift

After the transaction closes, 3G Restaurant Brands Holdings LP will hold approximately 21% of RBI's fully diluted common shares on an as-adjusted basis — a notable step-down from its prior position. For franchisees and industry observers tracking the ownership dynamics of one of the world's largest quick-service restaurant operators, the move signals a continued, measured reduction in 3G Capital's stake without a market sale that could pressure share price.

Scale Behind the Numbers
